Shockwave Medical, Inc. is a pioneer in the development and commercialization of Intravascular Lithotripsy (IVL) to treat complex calcified cardiovascular disease. Shockwave Medical aims to establish a new standard of care for medical device treatment of atherosclerotic cardiovascular disease through its differentiated and proprietary local delivery of sonic pressure waves for the treatment of calcified plaque.

Shockwave Medical, Inc. is seeking an experienced corporate paralegal to join Shockwave Medical's Legal Department. Shockwave Medical's Legal Department is composed of a small and close-knit team who: (i) provide balanced, strategic, business-focused advice in support of Shockwave Medical's activities worldwide; and (ii) collaborate across all areas of the business, including Finance, Human Resources, Business, Investor Relations and Sales. The successful candidate will work closely with all members of the Department and be a key liaison to other functions across Shockwave Medical. In addition, the candidate must have a willingness to pitch in where needed.

The position reports directly to the Associate General Counsel and will be located at Shockwave Medical's headquarters in Santa Clara, California, although a partially-remote working situation with regular visits to the Santa Clara headquarters will be considered for the right candidate.

Requirements

Corporate Governance & Public Company Reporting
  • Prepare, review and submit public company filings, including Section 16 filings and managing related 10b5-1 trading plans.
  • Provide coordination of annual shareholder meetings, including proxy materials, voting procedures, meeting preparations, and agenda, as well as communicating and managing information to stock transfer agent, proxy solicitor, printer, brokers, stock exchanges and others.
  • Assist with Board of Directors and Committee meetings and record keeping, including maintaining the minute books, preparation of meeting materials and managing the board portal.
  • Oversee and maintain global subsidiaries, including maintaining database, corporate records and filing calendar, completing domestic and international periodic filings, conducting subsidiary board meetings, managing corporate reorganization projects, and facilitating changes in organizational documents and subsidiary D&O slates (including notary and apostille requirements)
  • Interface with many internal groups (e.g., finance, HR, sales) and outside counsel to provide corporate information and general corporate assistance.

Other Responsibilities
  • Assist with legal budgeting and legal spend; track and monitor outside counsel invoices.
  • Assist the legal and finance teams on M&A transactions, audit requests, corporate venture investments and other transactions (virtual data rooms, due diligence requests, etc.).
  • Conduct legal research as needed.
  • Assist with other projects as assigned.

Job Qualifications

Required Qualifications
  • Not less than a bachelor's degree from an accredited school.
  • A minimum of five (5) years paralegal experience; prior public company in-house experience preferred.
  • Notary credentials or a willingness to obtain and maintain notary credentials.
  • Excellent (a) judgment, (b) work-ethic, (c) attention to detail; (d) follow-through, and (d) organizational, communication and project-management skills.
  • Experience with Microsoft Office Suite, Adobe Acrobat Pro, Board vantage (or other board portal) and DocuSign
