Position Overview

As a pivotal member of the Executive Leadership Team, the Vice President and General Counsel will closely collaborate with the President of FUJIFILM Holdings America Corporation to provide strategic legal counsel and guidance across all business units within our organization. Your expertise will support the overall business goals while ensuring compliance and managing legal risks effectively.

In this role, you will remain informed about the diverse activities across FUJIFILM Americas Headquarters and its subsidiaries and affiliates. You will proactively identify and address potential legal implications, offering sound counsel to the Board of Directors, Senior Management Team, and staff.

The ideal candidate will be a strategic thinker with extensive experience in M&A, regulatory environments, and business dynamics. You'll play a crucial role in fostering a culture of compliance, accountability, and collaboration, ensuring a positive employee experience.

Responsibilities

  • Strategic Corporate Leadership
    • Collaborate with senior leadership, the Board of Directors, and staff on legal and risk management matters, advising on the implications of major corporate transactions, including M&A and compliance.
    • Continuously improve the strategic framework for legal affairs while mitigating potential legal risks throughout the organization.
    • Provide guidance and support to all staff on work-related legal and ethical concerns.
    • Work with Compliance, HR, EHS, IT, and Regulatory departments to implement policies ensuring adherence to state and federal laws and standards.
  • Leadership of the Legal Department
    • Manage Legal Department personnel, outside counsel, and departmental operations effectively.
    • Oversee the legal budget and reporting to stakeholders, including auditors.
    • Ensure efficient negotiation and execution of contracts through management of external legal resources.
    • Directly oversee or perform legal reviews of significant contracts and transactions.
    • Guide strategy for corporate transactions, including M&A, corporate reorganizations, and litigation.
    • Advise on various legal matters, including antitrust, government contracts, labor employment, and corporate compliance.
  • Board of Directors Governance
    • Advise on corporate governance issues and manage the development of governance materials.
    • Record and maintain formal board actions for FUJIFILM Americas companies.
    • Coordinate Board-related business, meetings, and communications.
    • Implement best practices in corporate governance.

Required Skills/Education

  • J.D. from an ABA-accredited law school.
  • A minimum of 15 years' relevant experience.
  • Active member of the New York State Bar or another state Bar.
  • Experience in complex, global organizations.
  • Background in life sciences, medical devices, or biotechnology is preferred.
  • Extensive M&A experience.
  • Strong skills in commercial contracting and negotiation.
  • Experience in managing legal teams or outside counsel.
  • Effective team-building and mediation skills, with a collaborative style.
  • Proficient in cross-functional collaboration and project management.

Salary and Benefits:

  • $350,000 - $375,000 depending on experience
